The sale of one of the top three search engine marketing companies.

Background

Only 9 months after its foundation, the shareholders of ClearSense asked JBR for assistance with a possible sale.

Customer's dilemma

Following a turbulent period of rapid growth, the company had just become profitable when a foreign investor indicated a wish to purchase it. ClearSense was active in search engine marketing and its customer portfolio included companies for which it purchased and managed Google AdWords (the ‘sponsored links’ on the right hand side of the Google page). ClearSense focused on small advertisers and therefore had a stable, broad-based portfolio with a limited track record.

Our contribution

JBR facilitated the sale process from start to finish, drew up the information memorandum, made a valuation for the shareholders as a basis for negotiation, assisted with negotiation and gave instructions to lawyers and tax advisors. In view of the brief existence of the company, this led to a highly satisfactory outcome for the shareholders.

The result

The company was sold to the Australian multinational, World Directories.
